Enterprise-commissioned research is a growing route in Vietnam, and it operates on entirely different timescales and expectations from any public funding stream.

For a foreign partner considering a three-way arrangement, understanding those differences prevents most of the friction.

What enterprises expect

  • A usable answer within months, not years.
  • Results that inform a decision they are already facing.
  • Confidentiality, at least for a period.
  • Clear ownership of results.

What must be negotiated carefully

  • Publication rights, including when results are unfavourable.
  • Length of any publication embargo.
  • Whether they may veto content — they should not.
  • Whether student theses can be constrained — they must not.

The clause that matters most

  • You must retain the right to publish even when results do not favour the funder.
  • Without it, only favourable findings ever reach the literature.
  • That is publication bias created by contract.
  • This clause is worth losing a contract over.

Conflict of interest

  • Declare funding in every publication.
  • State the funder's role in design, analysis and the decision to publish.
  • State explicitly if they had no role — that has meaning.

  • A foreign partner, a Vietnamese institution and a company need a single agreement.
